These Terms of Service ("Terms") form a legally binding agreement between you and URBAN Technologies Inc. (https://www.urbancompanyapp.com), hereinafter referred to as "URBAN," governing your access to and use of the URBAN Driver App and related tools, services, and features provided to professional drivers and delivery partners ("Driver Services").

 

By registering as a driver or delivery partner on the URBAN platform, you agree to comply with these Terms and any applicable supplemental terms, including the Driver Agreement, Privacy Policy, Community Guidelines, and other notices issued by URBAN.

 

1. Contractual Relationship

These Terms apply immediately upon your acceptance. URBAN may suspend or terminate access at any time for misconduct, policy violations, or operational changes. These Terms do not create an employment, agency, or joint venture relationship.

 

2. Arbitration Agreement and Waiver of Class Actions

 

All disputes will be resolved by binding individual arbitration. Drivers waive the right to participate in class, collective, or representative actions. Exceptions apply to claims involving harassment, intellectual property, or small claims.

 

3. Nature of the Services

 

URBAN offers a technology platform to connect independent contractors with users seeking transportation or delivery. URBAN is not a transportation company and does not employ drivers. Drivers are solely responsible for compliance with all local laws and regulations.

 

4. Driver Account and Requirements

 

Drivers must:

Register and maintain an active account with accurate information;

Possess all required licenses, registrations, and insurance;

Maintain a safe, legally compliant vehicle;

Comply with URBAN's policies and local transportation laws.

URBAN may deactivate accounts for fraudulent activity, misconduct, or regulatory violations.

 

5. Payments and Fees

 

Drivers will receive fares based on trip metrics and promotional programs. URBAN may deduct service fees or commissions. All amounts will be displayed transparently in your Driver Dashboard. Taxes and reporting are the driver’s responsibility.

 

6. Conduct and Standards

 

Drivers must:

Provide courteous, lawful, and safe service;

Respect all users, passengers, and personnel;

Avoid discriminatory, violent, or inappropriate behavior;

Follow local driving and delivery regulations.

Violations may lead to suspension or permanent deactivation.

 

7. Insurance and Liability

 

Drivers are responsible for maintaining valid insurance as required by law. URBAN provides limited third-party liability coverage as outlined in the Driver Agreement. URBAN shall not be liable for accidents, damages, or misconduct by drivers.

 

8. Use of URBAN Platform

 

Drivers may not:

Tamper with the app, pricing, or system;

Share accounts or use others’ credentials;

Engage in misleading, fraudulent, or unsafe conduct.

 

URBAN may monitor platform usage to ensure compliance.

 

9. Intellectual Property

 

All URBAN materials, including logos, app designs, tools, and documents, remain the property of URBAN. You may not use URBAN's intellectual property without prior written consent.

 

10. Termination and Modifications

 

URBAN reserves the right to modify these Terms or terminate access to the Driver Services with notice. Continued use of the URBAN platform constitutes agreement to updated terms.
