Terms and Conditions of Use of the URBAN App for
Drivers/Passengers and their Privacy Policies.

1. CONDITIONS OF USE OF THE APPLICATION.
It is necessary to read the Terms below before using the applications. By accessing and using the services of the URBAN Driver and URBAN Passenger applications, users expressly agree to the terms and conditions set forth below. If they do not agree to the following terms of use and conditions, users will not have access to the digital intermediation service offered on the application platform.
2. INTRODUCTION.
These terms govern the rules for accessing and using the URBAN Driver and URBAN applications.
The URBAN Driver and URBAN Passenger applications were developed to provide a digital intermediation environment between passengers seeking a driver who offers passenger transportation services.
However, drivers and passengers who use the platform to contract with each other only use the connection established to conduct business, which the parties may, at their discretion, accept or reject. However, it is recommended that before carrying out any transaction,
Please read the terms and conditions carefully before confirming the contracting of the service, where URBAN may adopt measures such as charging a cancellation fee to the parties, suspending or even blocking the use of the applications in the event of conduct that discredits the purpose of the applications and/or defames the company that owns the applications. The URBAN Driver and URBAN Passenger applications are compatible with Android and iOS systems.
The operation of these applications is subject to internet access and availability of the service offered by URBAN, and the company may, at any time and at its discretion, terminate activities in a given region even if users have credits in the applications. Therefore, if there is a termination of activities in a region, suspension or blocking of use for certain users or for all users, URBAN will return the credits that users have in the applications, with the termination fee deducted from these credits.
Urban may collect contact information so that the passenger or driver can share trips with friends and family.
3- PERMISSIONS
We are using the following set of permissions for login purposes only. These permissions are not used to store any kind of personal information of the user.

The above permissions are used distinctly for capturing camera data, examining phone status, reading contact to examine contact details for a crisis call and reading files for document verification. The information of the customers that are under permission is appropriately secured and is under Google's consent law.

The above permission is used for access location after allowing the user to accurately deliver the product at the customer's doorstep. The location service is used in accordance with the privacy policy of Google Play Developer Program Policies. We do not share any type of location data or customer information for any additional features. We ensure the customer a safe and accurate delivery with privacy assuming under an authorization is appropriately secure and under the law of google consents.
ACCESS_BACKGROUND_LOCATION
Above location background permission is used for tracking on the user side. The location service is used in accordance with the privacy policy of Google Play Developer Program Policies. We do not share any type of location data or customer information for any additional features that are taken under authorization that is adequately secure and under Google’s consent law.

We welcome your comments regarding this privacy statement at the contact address provided in the app. If there is any concern that this Privacy Policy has been violated, we will use commercially reasonable efforts to resolve the same. SMS permission is required for one-time verification of user's mobile number. When we log in to the app with mobile number, we need OT to verify user's identity. Images are required to verify documents such as customer ID proof. Usage Data is collected automatically when using the Service.
Usage Data may include information such as Your Device’s Internet Protocol address (e.g. IP address), browser type, browser version, the pages of Our Service that You visit, the time and date of Your visit, the time spent on those pages, unique device identifiers and other diagnostic data.
When You access the Service by or through a mobile device, We may collect certain information automatically, including, but not limited to, the type of mobile device You use, Your unique mobile device ID, the IP address of Your mobile device, Your mobile operating system, the type of mobile Internet browser You use, unique device identifiers and other diagnostic data.
We may also collect information that Your browser sends whenever You visit the Service or when You access the Service by or through a mobile device.
IN WITNESS WHEREOF, all users or visitors to the Application agree that they have read the terms set forth in this Privacy Policy and agree to be bound by them for as long as they continue to use the Application or avail themselves of the Company’s Services.
4. USE OF SERVICES.
Users may use our services only in locations where URBAN opens registration for new drivers who wish to offer their services on the URBAN Driver app platform and, consequently, may hire drivers interested in their services through the URBAN Passenger app. However, URBAN limits the number of users of the URBAN Driver app, and it is the sole responsibility of the company to activate the desired number of users of the URBAN Driver app according to the demand made through the app platform. After downloading the URBAN Passenger app, to search for passenger transportation services, you must first register on your device, where you must provide your photo ID and your cell phone number to receive the activation code that will be sent exclusively to the number provided, thus allowing the user of the URBAN Passenger app to search for a destination, check the estimated cost of the trip and request transportation intermediation, and the URBAN Driver app allows the closest driver to accept or decline the transportation requested through the intermediation platform offered by the apps. For users of the URBAN Driver app, after downloading, before being able to access the platform's availability to offer their services, it is necessary to meet the same criteria required by the URBAN Passenger app, as well as send the following documents: Vehicle document, SSN - Social Security Number, driver's license and Vehicle Insurance. The user of the URBAN Driver app must send photos of the aforementioned documents, required at the time of registration, so that they can be authorized to access the platform through the app. It is important to note that the data entered in the app must match the data in the documents, as well as the person in the photo, so that access can be granted by one of the company's managers. If there is any doubt regarding the data entered in comparison with the photos sent, the company reserves the right to wait for the user of the URBAN Driver app to go to an URBAN unit to obtain in-person authorization to use the app.
5. PURPOSE OF THE APPLICATION.
The purpose of the services provided by the URBAN Passenger and URBAN Driver applications is to provide a platform that only digitally mediates the connection between users seeking individuals or companies providing point-to-point passenger transportation services, and drivers or companies that want to attract and prospect customers, whether these drivers are individuals or drivers of independent transportation companies that own and/or operate a single vehicle or a fleet of vehicles driven by other people.
6. CHANGES TO THE CONTRACT BY ADDENDUM.
URBAN may change the terms and conditions set forth herein at any time without prior notice or any type of communication by means of amendments. These amendments shall come into effect immediately after the posting of the updated version. Therefore, users of the URBAN Passenger and URBAN Driver applications must routinely check for new versions of the platform and its rules before using the application. If they do not do so, they expressly agree to the new updates and their changes.
7. RIGHT OF USE.
URBAN authorizes users to use the URBAN Passenger application without limits.
8. USER OBLIGATIONS.
Users are those who use the URBAN Passenger and URBAN Driver applications to contract passenger transportation services through the platform (connection) for these applications. URBAN is not responsible for the actions or omissions of users due to conduct in relation to a contract entered into by the parties. The application may not be used against third parties or infringe legal norms or in any way that is in the social interest or that goes against good customs or professional ethics. USERS OF THE URBAN PASSAGEIRO APPLICATION WILL BE SOLELY RESPONSIBLE FOR ANY OBLIGATIONS OR LIABILITIES IN RELATION TO USERS OF THE URBAN MOTORISTA APPLICATION OR THIRD PARTIES ARISING FROM THEIR PROVISION OF TRANSPORTATION SERVICES. THE USER OF THE URBAN PASSENGER APPLICATION ACKNOWLEDGES AND AGREES THAT HE/SHE AND EACH DRIVER USER OF THE URBAN PASSENGER APPLICATION ARE SOLELY RESPONSIBLE FOR OBSERVING REASONABLE AND APPROPRIATE PRECAUTIONS (INCLUDING MAINTAINING ADEQUATE INSURANCE THAT MEETS THE REQUIREMENTS OF ALL APPLICABLE LAWS) IN RELATION TO ANY ACTS OR OMISSIONS OF A USER OR THIRD PARTY.
The user of the URBAN Passenger application acknowledges and agrees that URBAN may make available the contact and/or insurance information of the user of the URBAN Driver application to another user of the URBAN Driver application upon reasonable request. The user of the URBAN Passenger application acknowledges and agrees that, unless specifically consented to by the user of the URBAN Driver application, they may not transport or allow any other persons to enter the vehicle other than the parties involved in the intermediation. The users of the URBAN Driver application acknowledge and agree that they must ensure that all users who request services through the URBAN Passenger application must be transported directly to the indicated destination, as informed in the URBAN Passenger application, without interruptions, detours or unauthorized stops, except when construction work or accidents make the indicated route impossible, and the user of the URBAN Driver application must follow a new indicated route after making the detour.
9. URBAN DRIVER PARTNER REGULATION
9.1. Registration and Eligibility To become a driver-partner, the individual must: be 21 years of age or older, hold a valid U.S. driver's license, pass background checks, and operate a vehicle no older than 15 years and in good condition.
9.2. Mandatory Documentation with Image a. Social Security Number (SSN): Clear image of the original SSN card or equivalent official document verifying the number. b. Driver Photo: Current, well-lit photo, clearly showing the driver's face (without sunglasses or hats). c. Vehicle Photo with Visible License Plate: Exterior photo showing the transport vehicle, highlighting the front or rear license plate. d. Vehicle Registration: Image of the official vehicle registration document in the driver's name or a valid rental agreement. e. Auto Insurance: Legible photo of the valid policy with: Driver's Name, Policy Number, Expiration Date, and Minimum Ordinary Coverage. f. Valid Driver's License: Front and back image of a current, unrestricted Florida driver's license.
9.3. Background Checks and Vehicle Standards: During registration and throughout use of the platform, the driver may be subject to criminal background checks, driving background checks, and other checks, conducted directly or by authorized third parties. The driver authorizes Urban to share this data with insurers, regulatory agencies, or competent authorities as necessary. The vehicle must be properly registered, licensed, and in safe operating condition, in accordance with transportation industry standards. The driver may compromise the resolution of any recalls or safety defects identified by the vehicle manufacturer.
9.4. Driver-Partner Conduct: The driver must only use the Urban app, maintain professional conduct, and never accept rides outside the platform.
9.5. Obligations and Expected Conduct: Comply with local laws, keep the vehicle clean and safe, treat passengers with respect, and never consume drugs or alcohol while on the platform.
9.6. Compensation and Taxes: The driver receives up to 70% of the net fare. Urban retains a 30% service fee. Payments are issued weekly or upon request.
9.7. Insurance and Liability
9.7.1 Driver Liability Insurance: The driver must maintain liability insurance that meets Florida's minimum legal requirements, covering bodily injury and property damage. The driver must be listed as an insured driver with the police, provide proof of insurance and payment upon request, and notify Urban immediately in the event of cancellation.
9.7.2 Personal Insurance Limitations: The driver is authorized to carry personal policies that cannot cover incidents while operating on a P2P platform. It is the driver's responsibility to maintain their own safety.
9.7.3 Other Coverage: If legally required, the driver must carry workers' compensation insurance. Alternatively, workers' compensation insurance is acceptable where permitted, and the driver assumes full risk for failure to maintain coverage.
9.7.4 Urban Coverage: Urban may, at its sole discretion, maintain additional coverage for platform activities. Such coverage does not guarantee personal protection unless expressly stated in an addendum and may be changed or canceled at any time without notice.
9.8. Termination and Cancellation: Urban may suspend or terminate a partnership at any time for specific reasons, such as failing security assessments or inappropriate behavior.
9.9. Complaints and Penalties: Negative, misconduct, or visible reviews may result in warnings, suspension, or removal from the platform.
10. EVALUATION.
The users of the URBAN Driver application acknowledge that URBAN wants the users of the URBAN Passenger application to have access to high-quality services through the aforementioned URBAN mobile application. In order to continue receiving access to the URBAN Driver application and URBAN Services, the user of the URBAN Driver application agrees that he/she will need to maintain an average rating, given by users of the URBAN Passenger application, that exceeds the minimum average rating acceptable by the company URBAN for the Territory/Region, as updated by URBAN, which may be redefined at any time and at its sole discretion (“Minimum Average Rating”), where if the average rating of users of the URBAN Driver application falls below the Minimum Average Rating, URBAN, at its discretion, will notify users of the URBAN Driver application, so that within a limited period of time, he/she raises his/her average rating above the Minimum Average Rating. If the Driver user of the URBAN Driver application does not raise his/her average rating above the Minimum Average Rating within the period granted (if applicable), URBAN may disable this user's access to receive requests from users of the URBAN Passenger application.
Furthermore, users of the URBAN Driver application acknowledge and agree that repeatedly failing to accept requests from users of the URBAN Passenger application for Transportation Services while connected to the URBAN Driver application will result in a negative experience for users of the URBAN Passenger application. Therefore, users of the URBAN Driver application agree and ensure that if they do not wish to accept requests from users of the URBAN Passenger application for Transportation Services for a certain period of time, they must disconnect from the URBAN Driver Application. After receiving services from the user of the URBAN Driver application, the user of the URBAN Passenger application will have the opportunity to evaluate their experience and make additional comments about the driver who provided the services.
11. PAYMENT
Urban Passenger app users may pay for services using a credit card, with an estimated amount provided prior to contracting. Payment will be processed through a third party, known as a "payment gateway," which is authorized or rejected at the discretion of the third party. Several factors are considered, such as security, valid card, positive balance, etc. The price will include all taxes required by law, which vary according to the legislation of each specific region. The company, at its sole discretion in the relationship of intermediation of the contract between the parties, reserves the right to establish, remove and/or review the price related to all services obtained. Furthermore, you acknowledge and agree that the price applicable for certain geographic areas may include charges, fees, taxes and/or government contributions due on your behalf, including toll fees or airport charges, depending on the route taken by the user of the URBAN Driver application, the place of origin and/or destination of the trip or, and applicable legislation may increase substantially due to changes in the legislation of each region. The payment of fees, taxes and/or government contributions will be the responsibility of the User of the URBAN Passenger application and if paid by the Third Party Provider and/or Urban, you will reimburse the latter for all fees, fees, taxes and/or government contributions paid by it. URBAN may, at any time, grant certain users promotional offers and discounts that may result in different amounts charged for the same or similar Services obtained through the use of the Services, and you agree that these promotional offers and discounts, unless also offered to you, will not influence the Prices applied. The user of the URBAN Passenger application may choose to cancel his/her request for services at any time before the arrival of the user of the URBAN Driver application, in which case a cancellation fee may be charged, and this same rule will apply in the event of cancellation by the user of the URBAN Driver application. URBAN does not indicate any portion of the payment as a tip or gratuity to users of the URBAN Driver application, and any tips will be considered “voluntary”, “non-mandatory” and/or “not included” in the payment you make for the services provided. The user of the URBAN Passenger application understands and agrees that, although he/she is free to make additional payments as a tip, he/she is not obligated to do so.
12. GENERAL PROVISIONS.
In the event that any provision of these Terms is declared illegal or invalid, in part or in whole, it will be automatically excluded from this text, without prejudice to the validity of the other provisions contained herein. In this case, the provision of the term that is invalidated will be immediately replaced by another similar one, but with legal effect, in the shortest possible time. In view of all the provisions of these Terms, the parties involved, in particular, the users and members, declare that they know and respect all the rules included herein to the detriment of any other existing rules.
